SOFTWARE AS A SERVICE (SaaS) LICENSE AGREEMENT
This Agreement is entered into today between RedVIP®, a Progressive Web App (PWA) technology provider, registered under United States Federal Tax ID 92-3899079 - , registered under the name Goliath Web Agency in the field of computer systems development (planning, analysis, design, and programming), located at www.redvip.online / www.redvip.co, with offices at the 1604 Babbling Brook Cove Lawrenceville, GA 30043 Building (hereinafter, the "Licensor" or "RedVIP®"), and the new web user.
Definition: A Progressive Web App (PWA) is an application developed with advanced web technology that provides a native-like experience, including installation on mobile devices and fast loading times. In this agreement, the "APP" refers to the PWA developed by RedVIP® for the shopping center.
WHEREAS, RedVIP® has developed software solutions such as PWAs, including digital storefronts focused on shopping malls;
WHEREAS, a new web user wishes to license and deploy a PWA for their business using RedVIP® technology;
THEREFORE, in consideration of the mutual agreements and promises contained in this document, the parties agree to the following:
1. License Grant
1.1 License: RedVIP® grants the new web user a non-exclusive, non-transferable, and limited license to use RedVIP®'s PWA software for a period of twelve (12) months, commencing upon purchase of the Basic Storefront or VIP Storefront application.
1.2 Scope: This license includes:
The development and deployment of a customized PWA.
The hosting of the software on a dedicated server provided by RedVIP®, designated exclusively for use during the license period.
2. Fees and Payments
2.1 Fees: All prices related to the new web user's PWA are fixed and documented on the website https://redvip.online/pages/app-prices. Prices and terms cannot be modified during the license period.
2.2 Payment Terms: Payment will be made on the website https://redvip.online/pages/app-prices.
2.3 No Refunds: Once this agreement is signed, no refunds or returns will be granted under any circumstances.
3. Support and Maintenance
3.1 RedVIP® will provide technical support, hosting, and software maintenance for the entire twelve (12) month period.
3.2 Support includes:
Bug fixes and performance updates.
Security monitoring.
Server stability and uptime.
Assistance with the administrative use of the RedVIP® Control Panel.
4. Renewal and Extension
4.1 The license will not be automatically renewed. Renewal is subject to successful payment for the new period.
5. Intellectual Property and Confidentiality
5.1 RedVIP® retains all intellectual property rights, source code, concepts, trademarks, and associated technologies. Nothing in this agreement shall be construed as a transfer or grant of intellectual property rights.
5.2 The new web user and its affiliates shall not:
Attempt to reverse engineer or decompile the software.
Disclose, share, or sublicense the technology to third parties.
Reproduce or copy the RedVIP® system for derivative works.
5.3 The Licensee agrees to maintain strict confidentiality and non-disclosure of all proprietary RedVIP® information during the term of this agreement and for a period of two (2) years.
6. Control of Licensed Display Cases
6.1 The display case(s) acquired during the initial activation will remain under the Licensee's administrative control for the twelve (12) months of the contract.
7. Software Warranty
7.1 RedVIP guarantees that the software service will be available 99.9% of the time, excluding scheduled maintenance.
8. Miscellaneous
8.1 This agreement shall be governed by the laws of the State of Georgia.
8.2 This agreement constitutes the entire understanding between the parties and supersedes any prior agreements, whether oral or written.
8.3 Any modification must be made in writing and signed by both parties.
